Failure to Accept by Buyer

If a buyer refuses to accept product in breach of contract, then the seller’s remedy is to dispose of the product promptly and properly and keep a strict accounting of what was received and the expenses of sale.

If the seller cannot dispose of the product, it must keep a good record of diligent efforts made to dispose of the product. The seller is entitled to the difference between what it should have received from the buyer less what it received.
